Item 1.01.

Entry into a Material Definitive Agreement.

On June 20, 2019, Codexis, Inc. (the “Company”) entered into a Securities Purchase Agreement (the “Purchase Agreement”) with an affiliate of Casdin Capital, LLC (the “Investor”). Pursuant to the Purchase Agreement, the Company agreed to sell an aggregate of 3,048,780 shares of its common stock (the “Shares”) for aggregate gross proceeds of approximately $50.0 million (the “Offering”). The purchase price for each Share was $16.40. The Offering closed on June 20, 2019.

On June 20, 2019, the Company also entered into a Registration Rights Agreement (the “Registration Rights Agreement”) with the Investor. Pursuant to the Registration Rights Agreement, the Company has agreed, subject to certain conditions, to prepare and file a registration statement with the Securities and Exchange Commission (the “SEC”) within 180 days after the closing of the Offering, if the Company is a “well known seasoned issuer” at such time (210 days if the Company is not then a “well known seasoned issuer”) for purposes of registering the resale of the Shares and any shares of common stock issued as a dividend or other distribution with respect to the Shares. The Company also agreed, subject to certain conditions, to use its commercially reasonable best efforts to cause this registration statement to become effective within 180 days after the closing of the Offering, if the Company is a “well known seasoned issuer” at such time (210 days if the Company is not then a “well known seasoned issuer”). The Company further agreed, among other things, to indemnify the selling holders under the registration statement from certain losses, claims, damages and liabilities and to pay all fees and expenses (excluding underwriting discounts and selling commissions) incident to the performance of, or compliance with, the Company’s obligations under the Registration Rights Agreement.

The Offering is exempt from registration pursuant to the exemption for transactions by an issuer not involving any public offering under Section 4(a)(2) the Securities Act of 1933, as amended (the “Securities Act”), and Regulation D under the Securities Act (“Regulation D”). The Investor represented to the Company that it is an accredited investor within the meaning of Regulation D, and is acquiring the Shares for investment only and not with a view towards, or for resale in connection with, the public sale or distribution thereof. The Shares were not registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration with the SEC or an applicable exemption from the registration requirements.
