Item 5.02.
Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On July 19, 2019, Kathleen S. Glaub notified the Board of Directors (the “Board”) of Codexis, Inc. (the “Company”) of her decision to resign as a member of the Board, effective September 30, 2019. Ms. Glaub’s resignation from the Board is due to other commitments, and is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
